Confidentiality Agreement
The undersigned acknowledges requesting that Peak Practice Transitions, LLC, furnish the undersigned with certain confidential information relating to the business affairs and operations of the requested dental practice (PRACTICE), for the expressed purposes of evaluating the potential purchase of the dental practice.
Further, undersigned agrees and commits both legally and as a matter of professional ethics, not to disclose to any third party, including employees/peers of our client, any information that is disclosed to you or known to you about the PRACTICE, personally or professionally, until you receive authorization to do so. Undersigned agrees that this commitment will continue regardless of the outcome of our association.
Undersigned may disclose any information about the practice to a spouse, accountant, attorney and lender, with the understanding that undersigned will accept full responsibility for any breach of confidentiality that may result.
Undersigned agrees not to call, mail anything to or fax anything directly to our client’s practice except at his home, cell phone, or through us, without the permission of Peak Practice Transitions, LLC.
Undersigned agrees to return by certified mail or personally, all materials provided to you within ten (10) days from the day you know that you will no longer be a candidate for the purchase of the PRACTICE. Furthermore, you agree not to retain any paper or electronic copy of any of the materials provided to you.
Undersigned agrees not to use any information obtained through the process of investigating the PRACTICE in any manner that would injure PRACTICE financially or otherwise.
The validity, interpretation and construction of this agreement and each part thereof shall be governed by the laws of the State of Michigan. If any provisions of this agreement are determined to be unenforceable by a court of competent jurisdiction, such provisions shall be deemed severable and this agreement may be enforced with such provisions severed, or as modified by such court. In addition to all remedies at law, we are entitled to injunctive relief should you breach this Confidentiality Agreement. In addition to all remedies at law, the undersigned agrees to pay all court costs and attorney fees should it be necessary to involve an attorney to enforce this agreement.
The signing parties agree, represent, and warrant that the undersigned signatories have read and understand the provisions set forth in this agreement and have the legal and binding authority to execute this agreement.
